CannaAngels, LLC arranges meetings between entrepreneurs (issuer) conducting private offerings of their equity and affiliated Investor members. Issuers conducting private offerings of their securities may not conduct any advertising or general solicitation. Members who attend any of these meetings may not invest in Issuer entities unless they demonstrate appropriate qualifications and are accepted as Investor Members.

Investor Member (“Member”) hereby agrees to the following terms:

1. Member agrees that all invitations to CannaAngels, LLC are personal to Member, and Member will not invite anyone else to attend, whether in addition to or instead of Member. If you desire to introduce any other potential Member to CannaAngels, please contact the CannaAngels group in advance.
2. Member understands that private offerings are subject to securities laws, which prohibit, among other things, the communication or retransmission to anyone of information received by Member from Issuers through CannaAngels, and that such information may not be reviewed by or shared with others.
3. Member understands that CannaAngels, LLC is not a broker/dealer and may not sell, offer to sell or solicit an offer to buy any security. References to CannaAngels, LLC includes its affiliates and agents.
4. Member understands that CannaAngels, LLC makes no representations or warranties about any Issuer, express or implied.
5. Member understands that all negotiations concerning investments (including price, percentage ownership interest and other terms) will take place directly between Members and Issuers. CannaAngels, LLC may assist in facilitating, but is not acting as an agent or principal or in any other capacity in those negotiations or transactions.
6. Member understands that CannaAngels, LLC is not an investment adviser or underwriter for any Member or for any Issuer and that CannaAngels takes no responsibility for the accuracy or completeness of any information about any Issuer communicated to Investor Members.
7. Member understands that if Issuer wants Member to agree to other restrictions on the use of the Issuer’s confidential information, the Issuer may require a separate nondisclosure agreement before disclosing confidential information, and Member agrees to comply with Issuer’s requirements.
8. Member understands that this Questionnaire and Agreement is the entire agreement between Member and CannaAngels, LLC and may only be amended or waived in writing signed by the applicable party, and shall be governed by the laws of the state of California.

Under the Securities Act of 1933, a company that offers or sells its securities must register the securities with the SEC or find an exemption from the registration requirements. The Act provides companies with a number of exemptions. For some of the exemptions, such as rules 505 and 506 of Regulation D, a company may sell its securities to what are known as "accredited investors."

1. A bank, insurance company, registered investment company, business development company, or small business investment company;
2. An employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million;
3. A charitable organization, corporation, or partnership with assets exceeding $5 million;
4. A director, executive officer, or general partner of the company selling the securities;
5. A business in which all the equity owners are accredited investors;
6. A natural person who has individual net worth, or any natural person whose individual net worth, or joint net worth with that person's spouse, at the time of his purchase exceeds $1,000,000, excluding the value of the primary residence of such natural person;
7. A natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year; or
8. A trust with assets more than $5 million, not formed to acquire the securities offered, whose purchases a sophisticated person makes.
